By accessing or using the services provided by AI Smart Solutions LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and clients who access or use our website and services.

AI Smart Solutions LLC provides artificial intelligence consulting, custom software development, automation solutions, and related professional services. The specific scope of services for each client is defined in individual service agreements or statements of work.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery • Respond to requests for information or approvals in a timely manner • Ensure you have the necessary rights and permissions for any data or materials you provide • Comply with all applicable laws and regulations • Pay all fees as specified in your service agreement • Maintain the confidentiality of any credentials or access provided to you

Unless otherwise specified in a separate agreement:

• Pre-existing IP: Each party retains ownership of their pre-existing intellectual property • Deliverables: Ownership of custom deliverables transfers to the client upon full payment • Tools and Methods: We retain ownership of our proprietary tools, methodologies, and frameworks • Third-party Components: Third-party software and tools remain subject to their respective licenses

You may not copy, modify, distribute, or create derivative works from our proprietary materials without written permission.

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes, but is not limited to:

• Business strategies and plans • Technical specifications and source code • Client data and customer information • Pricing and financial information • Trade secrets and proprietary methodologies

Confidentiality obligations survive the termination of any agreement for a period of three (3) years.

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI SMART SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless AI Smart Solutions LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services • Your violation of these Terms • Your violation of any third-party rights • Any data or content you provide to us

Either party may terminate services as specified in the applicable service agreement. Upon termination:

• You must pay for all services rendered through the termination date • We will provide reasonable assistance in transitioning services • Confidentiality and limitation of liability provisions survive termination

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
